TERMS AND CONDITIONS MOVEWISE SERVICES
This document sets out
the terms and conditions governing the provision of immigration services (such
as assistance with visa applications, residence registration, personal ID card
and fiscal code requirements, enrolment in the public healthcare system, etc)
offered directly by MoveWise S.r.l.
MoveWise also enables Users to connect with
Chartered Accountants and Tax Lawyers, acting as third-party professionals, in
order to request the provision of tax services (including tax consulting,
support in accessing favorable tax regimes, setting
up a self-employed position, and assistance with filing annual tax returns, etc).
All services are
provided outside the www.movewise.net platform, and payment is made via Stripe,
HubSpot and Stripe Connect payment links generated by MoveWise.
1.
Definitions
To allow a complete
understanding and acceptance of these terms and conditions, the following
terms, in the singular and in the plural, shall have the meaning indicated
below:
● Owner or MoveWise: MoveWise S.R.L.,
with registered office at Via San Gregorio 25, 20124 Milan, VAT No.
13223480966, fully paid-up share capital of 2,500.00, certified email (PEC): movewisesrl@pec.it
● MoveWise Services: Immigration Services,
such as support with visa applications, residence registration, personal ID
card and fiscal code requirements, enrolment in the public healthcare system,
etc., sold by the MoveWise
● Third‑party Provider Services: Tax
Services, such as tax consultation, support with the activation of special tax
regimes, setting up a self-employed position, annual tax return, etc., provided
by Chartered Accountants / Tax Lawyers / Accounting
firms as Third-party Providers
● User: any
individual interested in the services offered by MoveWise
or by Third-party Providers
●
Consumer User: the natural person who enters a
contract for purposes not related to their trade, business, or profession
●
Professional User: the adult natural person or legal
entity who enters a contract for the purposes or needs of their trade,
business, or profession
● Third‑party Provider: the natural or legal person, other
than the Owner, who offers Services within the scope of their commercial,
business or professional activity. The relationship between the Third-party
Provider and the User is governed by the Third-party Provider s Terms and
Conditions [www.movewise.net/en/terms-third-party]
● Stripe, HubSpot and Stripe Connect Payment Links: the dedicated and secure payment
links generated through the Stripe Connect by MoveWise
and addressed to the User, in order to enable the remote purchase of a Service
provided by MoveWise
● Conditions:
this contract, which governs the relationship between the MoveWise
and the Users as well as the provision of Services by the MoveWise.
2.
MoveWise Services
For the Services provided
by MoveWise, the User establishes initial contact
with a MoveWise FrontOffice
Agent through a Free Consultation Call or via alternative communication
channels (such as email, WhatsApp, etc.).
During this interaction,
the FrontOffice Agent collects essential information
from the User including, but not limited to, personal needs, nationality,
employment status, income level, and criminal background. Following this
assessment, the FrontOffice Agent sends the User a
detailed service proposal via email, outlining the scope of the immigration
support being offered (example, support in applying for a VISA).
The proposal includes a
secure payment link to MoveWise s Stripe account.
Upon confirmation of payment, the User is assigned to a MoveWise
BackOffice Agent, who is responsible for carrying out all necessary steps to
deliver the contracted service in a timely and professional manner.
The service provided to
support the Visa application process consists of two phases:

Module 1: Visa Readiness Pack
●
Module 2: Visa Full Package
In Module 1, a dedicated MoveWise BackOffice Agent will review the User s data and
assess their potential eligibility for a Visa. If the User is deemed
potentially eligible, the BackOffice Agent will also provide a detailed list of
the documents required to proceed with the application.
If, following the
completion of Module 1, the user chooses to proceed with Module 2, MoveWise will provide full support throughout the entire
visa-application process from preparation to submission (the user will need to
apply in person if the application is lodged at the consulate).
It is important to note
that Module 2 does not include:

support
with the apostille or translation of documents and any related costs
●
payment
of government or application fees, which remain the sole responsibility of the
User
●
any
other service not explicitly stated in the service description.
MoveWise offers a 100% money-back guarantee
only if all the following conditions are met simultaneously:
●
during
Module 1, MoveWise determines that the user is
potentially eligible for the Visa;
●
the
user proceeds with Module 2 and submits all required documents as specified in
Module 1; and
●
the
Visa application is subsequently rejected by the relevant authorities.
In such a case, MoveWise will refund the full amount paid by the User for
both Module 1 and Module 2.
The refund will not cover
any additional expenses incurred by the User (e.g., apostilles, translations,
government fees, etc.). This refund policy is valid only if the user has
strictly followed MoveWise's guidance throughout the
entire process, including complying with visa requirements, submitting
documents on time, meeting deadlines, and fulfilling all specified conditions.
The User must carefully
follow all instructions provided by MoveWise
throughout the process, including document submission timelines and compliance
with specified deadlines. If the User fails to comply with these instructions,
the refund guarantee shall not apply.
3.
Third‑party Providers
Services
In order to allow the
User to purchase Third‑party Provider Services at a
distance, MoveWise adopts the following procedure:

Selection of the Third‑party Provider:
MoveWise, acting with full autonomy and at its sole
discretion, identifies the Third‑party Provider
that is most suitable to the User s specific case
●
Generation of the link: MoveWise
generates a dedicated Stripe Connect Payment Link specifying (i) the identity and contact details of the Third‑party Provider, (ii) the description of the Third‑party Service, (iii) the total price inclusive of VAT (where applicable)
and (iv) a reference to these Conditions and to any additional contractual
terms provided by the Third‑party Provider
●
Transmission of the link: the Stripe Connect Payment Link is
transmitted to the User by e‑mail or other remote communication
means chosen by MoveWise (such as WhatsApp or SMS)
●
Flow of funds: the payment is credited directly
to the Stripe account of the Third‑party
Provider. MoveWise does not collect or hold the sums
paid by the User and therefore cannot be considered the seller or the
beneficiary of the payment
●
Documentation: immediately after payment, Third‑party Provider sends the User a
payment receipt or an invoice.
4.
Relationship between the Owner,
Third-party Providers, and Users
Users are expected to
provide accurate and complete information during the initial consultation and
throughout the service delivery process. Any misrepresentation or omission of
crucial information may result in delays or inability to deliver the contracted
services.
MoveWise are committed to delivering
high-quality services. However, MoveWise shall not be
held liable for any delays or failures in service delivery due to incorrect
information provided by the User or external factors beyond its control.
5.
Purchase Procedure and Conclusion of
the Contract
The Service provision
contract is concluded through the following procedure:
● Initial Contact: the User books a Free Consultation Call or receives a phone call from
a MoveWise FrontOffice
Agent, who gathers essential information and explains the Services
● Proposal and Payment Link: within 24 hours, the Agent sends the User a detailed proposal
including service description, pricing, these Conditions, and a payment link
● Acceptance:
the provision of Services is considered concluded and binding under Article
51, paragraph 6, of the Consumer Code when the User, after receiving the
summary email, makes the payment via the payment link. This action constitutes
expression of will and full acceptance of these Conditions
● Order Confirmation: the Owner sends an order confirmation
immediately after payment, including the order summary, a copy or URL of these
Conditions, and a receipt or invoice.
Purchases of one or
more Services are permitted for both Consumer Users and Professional Users.
Purchase requests are
allowed only from individuals of legal age. For minors, any purchase must be
reviewed and authorized by parents or legal guardians.
The User is
responsible for verifying the accuracy of the data in the order confirmation
and must immediately notify the Owner of any errors.
The User should retain
a copy of the order, the confirmation, and the Conditions.
6.
Prices and payments
For each Service the
price including VAT, if due is indicated. If the price cannot be calculated in
advance, due to the nature of the Service, the methods for calculating the
price shall be indicated.
The Owner reserves the
right to change the price of the Services as well as any additional costs at
any time. It is understood that price changes shall in no case affect the
contracts already concluded before such change.
The User undertakes to
pay the price of the Services via the provided payment link and to supply the
requested information. To ensure the protection of personal data, MoveWise never has access to the User's payment
information, such as credit card numbers, cardholder names, or passwords. If
Stripe denies payment authorisation, the Owner shall not provide the Services
and shall not be held liable in any way.
Stripe, which manages the
payment process, is responsible for safeguarding payment data. In the event of
any issues related to the transaction, the User must contact Stripe directly to
resolve the matter.
7.
Billing
The User who intended to
receive the invoice for the payment shall provide the Owner with the billing
information. In this case, the User declares that the information provided is
true and releases the Owner from any liability in this regard.
8.
User s right to withdrawal from the
purchase of Services
The Consumer User and
Professional User has the right to withdraw from the contract without penalty
and without specifying the reason, within the term of 14 days from the date of
signature of the contract, by sending a written communication to the e-mail
address info@movewise.net, using the optional
withdrawal form in the following article or any other written declaration.
In the event of a
correctly exercised withdrawal, the User will be refunded the amount paid. The
refund will be issued promptly, using the same payment method used for the
purchase, within a maximum of 14 days from the date of the refund request.
The User acknowledges and
accepts that they will lose the right of withdrawal once the service has been
fully performed. If the service has not been fully rendered and the User wishes
to withdraw from the contract, the Consumer User shall be required to pay the
Holder an amount proportional to what has been effectively provided up to the
moment the right of withdrawal was exercised.
9.
Optional form to exercise the right
to withdrawal
The User can withdraw
from the contract by using the following form, which must be completed in its
entirety and sent to the e-mail address info@movewise.net
before the withdrawal period has expired:

10.
Limitation of liability
The Owner provides
administrative and general-information support only; any content supplied,
including tax- or social-security suggestions, does not constitute binding
legal or tax advice.
The Owner is fully liable
for damages caused by its wilful misconduct or gross negligence, to the extent
permitted by law. For all other breaches, liability is limited solely to direct
damages and, in any event, to an aggregate amount equal to the fees paid by the
User during the twelve (12) months preceding the damaging event.
Under no circumstances is
the Owner liable for
indirect or
consequential damages, including loss of commercial opportunities or tax
benefits not directly attributable to the Owner;
damages arising from
errors or omissions in data provided by the User (e.g., incorrect dates or tax
codes);
damages resulting from
differing interpretations or audits by competent authorities when the Owner has
acted in good faith on the information available;
effects of legislative,
regulatory, or administrative-practice changes that occur after the service is
performed;
delays in procedures,
third-party platform malfunctions, or loss of incentives not attributable to
the Owner.
If an error attributable
to the Owner (other than wilful misconduct or gross negligence) renders
documents or filings defective, the sole remedy will be, at the Owner s
discretion, either (i) correction and resubmission or
(ii) refund of the relevant fees, in both cases within the above liability cap.
The User undertakes to
verify the data made available by the Owner and to report any inaccuracies
within thirty (30) days of their publication; failing such notice, the data
shall be deemed accepted except in cases of wilful misconduct or gross
negligence.
Services supplied by
third parties remain subject to their own terms and conditions; the Owner is
not responsible for their performance unless its own wilful misconduct or gross
negligence is proven.
The Owner does not
collect or store the User s payment data and assumes no liability for
fraudulent or unlawful use of credit cards or other payment methods by third
parties, except where directly attributable to the Owner s wilful misconduct or
gross negligence.
The Owner gives no
guarantee of approval or adoption of decisions by public authorities or third
parties, nor of any specific result.
11.
Force majeure
The Owner shall not be
held responsible for the failure or late fulfilment of its obligations, due to circumstances
beyond its reasonable control due to events of force majeure or, in any case,
to unforeseen and unforeseeable events and, in any case, independent of its
will.
The fulfilment of the
obligations by the Owner shall be considered suspended for the period in which
events of force majeure occur.
The Owner will perform
any act in his power in order to identify solutions that allow the correct
fulfilment of his obligations despite the persistence of events due to force
majeure.
12.
Privacy
The protection and
processing of personal data by MoveWise will be in
accordance with the Privacy Policy which can be consulted on the page https://www.movewise.net/en/privacy-policy.
Pursuant to Articles 4
and 24 of Regulation (EU) 2016/679 ( GDPR ), MoveWise
and each Third-party Provider act as independent data controllers for the
personal data they respectively collect and process in the context of providing
their own services.
13.
Applicable law and jurisdiction
The Conditions are
subject to Italian law.
For Consumer Users, any
dispute concerning execution and interpretation of these Conditions shall be
referred to courts where the Consumer User resides or has elected domicile, if
located in the territory of the Italian Republic, without prejudice to the
right of the User Consumer of going to court other than the "consumer
court" pursuant to Section 66 bis of the Italian Consumer Code, competent
for the territory according to one of the criteria of the Sections 18, 19 and
20 of the civil procedural code.
The application to
Consumer Users who do not have their residence or domicile in Italy of any more
favourable and mandatory provisions established by the law of the country in
which they have their residence or domicile is reserved, in particular in relation
to the term for the exercise of the right of withdrawal, after the return of
the Services, in case of exercise of this right, the formalities of the
communication and the legal guarantee of conformity.
For Users who are not
Consumers, any dispute concerning the application, execution and interpretation
of these Conditions will be referred to the forum of the place where the Owner
is based.
